Fidelity Ethereum Fund is a Delaware statutory trust that issues shares representing fractional ownership of ether held in custody. The Trust holds ether as its sole investment and tracks the Fidelity Ethereum Reference Rate, a volume-weighted median price index calculated from eligible spot markets. Shares trade on the Cboe BZX Exchange and can be created or redeemed only by Authorized Participants in blocks of 25,000 shares in exchange for ether or cash. The Trust is passively managed, does not stake ether, and does not invest in derivatives.
