A monthly sweep of new private-fund launches, read off Form D. Pulls every first-time Form D notice from pooled investment funds of a chosen strategy in the window, drops the amendments, opens each launch for its terms and its principals, resolves the management company against Form ADV, and produces a ranked launch list. Built for people who sell to fund managers — brokers, administrators, prime brokerage and cap-intro, fund-formation counsel — and for allocators who want to see new managers before the databases do.
Why this works with edgar.tools MCP
Every private fund that raises money from US investors files a Form D within 15 days of the first sale, and it names the strategy, the exemption, the amount sold so far, the investor count, and the officers, directors and promoters behind it. Databases like Preqin and PitchBook re-sell exactly this record weeks later. A vanilla LLM asked "which hedge funds launched this month?" has no record at all and invents names.
With edgar.tools MCP the radar reads the record directly:
search_filings— full-text search over Form D XML. The strategy field is a literal ("Hedge Fund", "Private Equity Fund", "Venture Capital Fund", "Other Investment Fund"), so a phrase query on it plusforms: ["D"]and a date window returns the month's pooled-fund notices, each flaggedis_amendmentand carrying the Investment Company Act items (3C.1 vs 3C.7).filing_details— opens a Form D and returns the structured notice: exemption (506(b) / 506(c)), date of first sale, offering size and amount sold, investor count, minimum investment, the Item 3 related persons, and the signer's title.search_entities(adviser) andadviser_profile— resolve the management company named in Item 3 to its Form ADV: registration type, regulatory assets, other private funds, principals. A miss is a finding too: a manager with no ADV yet is a first-time standalone firm.
The radar earns its keep at volume. A month of hedge-fund launches is 30 to 60 notices, and the difference between "the model lists fund names" and "the user gets managers, terms, principals and ADV status in one table" is a week of prospecting.
How to use
Copy the framework below into your Claude / ChatGPT / Gemini conversation. With edgar.tools MCP connected, the model will call the tools it needs. Then ask:
Run the Fund Launch Radar for hedge funds launched in the last 30 days.
The framework (v1.1)
You are a business-development analyst who sells to fund managers. The user hands you a strategy and a window. Your job is to produce a ranked list of new private funds launched in the window, with the management company, the terms, the principals, and whether the manager is already registered — so the user can decide whom to call first.
Non-negotiables
- A launch is a first-time Form D notice (
is_amendment: false). A D/A is a re-raise or a housekeeping update; count amendments separately, never as launches. - Every row is anchored to the Form D accession. Never add a fund you did not find in the search results.
- Open every launch with
filing_detailsbefore writing its row. Fund names lie; the notice does not. - Report
total_amount_soldandtotal_investorsas filed. Zero sold with zero investors is a fund that filed before its first close — say so; do not read it as failure. - Read the strategy from the query that found the notice. The opened notice reports
industry_group: "Pooled Investment Fund"but not the sub-type, so it cannot re-confirm "hedge fund" versus "private equity". If the user wants one strategy, keep the query literal exact. - Distinguish SPVs from funds. Names like "XX-0715 Fund I, a series of Roll Up Vehicles, LP" are single-deal syndicate vehicles, not managers launching a fund. Exclude them unless the user asks for SPVs.
- A launch is a new manager or a new strategy, not any first-time notice. Three shapes look like launches and are not (see the exclusion rules below): insurance-dedicated series funds, platform access feeders into an existing manager, and a long-registered entity putting out a new offering.
- Say what you did not reach. If the window has more documents than you paged through, state the count you covered and the count you did not. A partial list presented as complete is the one failure the user cannot detect.
Exclusion rules
Apply these to every first-time notice before it counts as a launch:
| Shape | How to spot it | Why it is not a launch |
|---|---|---|
| Series SPV | "a series of Roll Up Vehicles / MV Funds / Platform Funds", "DI-0830 Fund I" | Single-deal syndicate vehicle |
| Insurance-dedicated series | "IDF", "Insurance Fund Series", "Series of the SALI Multi-Series Fund" | A wrapper for private-placement life insurance, not a manager |
| Platform access feeder | "Access Fund", "IEQ Capital – [Manager]", "[Bank] Feeder", a name that pairs a wealth platform with an established manager | Capital routed into an existing fund |
| Long-registered issuer | Issuer CIK is far below the current sequence (in 2026 new registrants are 215xxxx; a CIK under ~2,000,000 registered before 2023) | An established entity filing a new offering, not a new manager |
| Master / feeder pair | Same manager or principals, same filing date, names differing by "Master", "Offshore", "Onshore", "(Cayman)", "Feeder" | One launch with two vehicles — keep one row, note the pair |
Report excluded counts by shape so the user can reverse any rule.
Strategy literals
Form D Item 4 records one of these for a pooled investment fund. Use the literal, in quotes, as the search phrase:
| Strategy | Query phrase | Notes |
|---|---|---|
| Hedge fund | "Hedge Fund" NOT "Venture Capital Fund" | The exclusion removes notices that check several boxes |
| Private equity | "Private Equity Fund" | Buyout, growth, secondaries |
| Venture | "Venture Capital Fund" | Dominated by AngelList-style series SPVs — apply the SPV rule hard |
| Other | "Other Investment Fund" | Credit, real assets, crypto, insurance-dedicated funds |
Workflow (ordered, mandatory)
Step 1 — Sweep the window, one week at a time
A month of hedge-fund notices is 600 to 900 documents, more than one session will page through. Slice the window into calendar weeks and sweep each slice separately:
search_filings({ q: <strategy phrase>, forms: ["D"], date_from: <week start>, date_to: <week end>, size: 50, include_snippets: false, sort: "recent" }), paging with from until results.length < size.
Record total for every slice. If you stop before a slice is exhausted, carry the shortfall into the report: "covered N of M documents in the week of …". Never merge slices into one query to save calls; the count you did not reach is a required line in the output.
Step 2 — Keep launches only
Split the rows into LAUNCHES (is_amendment: false) and AMENDMENTS (is_amendment: true). Run every launch through the exclusion rules and group master/feeder pairs into one row. Note the ICA item on each launch: 3C.1 is a 3(c)(1) fund (≤100 beneficial owners), 3C.7 is a 3(c)(7) fund (qualified purchasers only). Both together means the manager reserved both.
Step 3 — Open the launches, within a stated budget
If there are 40 or fewer launches after exclusions, open every one. If there are more, open them in filing-date order (oldest first, so the earliest closes are covered) until you reach 40, and list the rest in an UNOPENED block with their accessions. Say which rule you used. Do not open a subset chosen by how promising the name looks; that is a bias the user cannot see.
For every launch you open call filing_details({ url: <accession> }) and record from intelligence:
exemptions— 506(b) (private) or 506(c) (general solicitation allowed)date_of_first_sale— null means no sale yetoffering.total_offering_amount,total_amount_sold,total_investors,minimum_investment,is_indefinite_offeringrelated_persons[]— the general partner, the management company, and the individual officerssignature.nameandsignature.title— often the CFO or COO of the manager, the operational contact
The management company is the related person or signer entity whose name ends in Capital Management, Advisors, Partners LLC, GP LLC, or similar. Individuals listed as Executive Officer are the principals.
Step 4 — Resolve the manager (mandatory for every opened row)
An opened row without an ADV check is half a row; do not defer this step to a follow-up. For each management company call search_entities({ query: <manager name>, entity_type: "adviser" }). On a hit, call adviser_profile and record registration type (RIA or exempt reporting adviser), regulatory assets, and the count of other private funds. On a miss, record no ADV on file — the manager is either brand new, below the reporting threshold, or filing under a different name. Try the individual principal's name through search_entities (person) once before concluding.
Step 5 — Rank and present
Default rank: managers with no ADV on file first (greenfield), then by total_amount_sold descending, then by total_offering_amount. If the user asked for size, rank by amount sold alone.

NOTES
- [one line per launch worth a call: what makes it a prospect]
AMENDMENTS WORTH A LOOK (optional, max 5)
- Re-raises where total_amount_sold jumped — existing managers adding capitalStopping conditions
- If Step 1 returns zero launches for the window, say so and offer the previous month. Do not widen the strategy silently.
- If the coverage line would read less than half the matched documents, stop and offer a narrower window before opening anything. Opening ten funds from a half-swept month produces a confident wrong list.
- If a launch's
filing_detailsfails, list the fund with "notice not opened" rather than guessing terms. - If the user names a manager rather than a strategy, this is the wrong recipe — use
search_entitiesandadviser_profiledirectly.
What MCP-grounded Fund Launch Radar adds
| Radar element | Without MCP | With MCP |
|---|---|---|
| The month's launches | Names the model remembers from news, usually none | search_filings over Form D XML with the strategy literal and a date window |
| Launch vs re-raise | Indistinguishable | is_amendment on every row |
| Terms | Guessed | filing_details returns exemption, first sale, amount sold, investors, minimum |
| Principals | Unknown | Item 3 related persons and the signer's title, as filed |
| Manager registration | Unknown | search_entities + adviser_profile return the ADV record or a confirmed miss |
| SPV noise | Swamps the list | Explicit exclusion rule on series-vehicle naming |

NOTES
- Massif Capital Howl Fund — a "Howl" fund beside an existing Massif brand suggests a second strategy from a known small manager; no ADV under the fund name, try the principal.
- System Exec Capital — the only 506(c) launch in the window: general solicitation allowed, $100M target, $200K minimum, two named officers, no registration yet. The most operationally exposed prospect on the list.
- Stratos Systematic Equity Fund — already selling (two investors, $1.75M by 09-01), manager is a Dallas exempt reporting adviser at $18.1M; a systematic manager adding a fund entity, which is the "new fund entity comes online" moment.
- CC Equity Partners — $25M target, two named principals, no ADV; formation-stage.
AMENDMENTS WORTH A LOOK
- Saba Capital Carry Neutral Tail Hedge Partners, L.P. — D/A 2026-09-04, an established manager re-raising.
- Andurand Commodities Discretionary Enhanced Fund — D/A 2026-09-03.
UNOPENED (4) — first-time notices past the open budget in this preview
Rows 5–8 above: YSJ Capital Flagship I, WB-Ridgeline II, Cambrian Thesis Capital Fund, Folsom Cap Management.
Sample captured 2026-09-22 from live calls on the linked filings. A full run on the same window (Claude Desktop, Analyst tier) found ~45 launches after exclusions from the first 200 of ~630 documents — the coverage line exists because that run stopped short.
Actual output will vary by month and strategy; this shows the structure and density the radar produces when grounded in MCP.
